Terms of Service

Welcome to VintOps (“Service”), a product of UserBuilders LLC (“Company,” “we,” “us,” or “our”). By accessing or using VintOps, including our website, mobile web application, Chrome browser extension, and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use the Service.

1. Description of Service

VintOps is an AI-powered marketplace listing toolkit designed for apparel resellers. The Service may include visual search and comparable item discovery, AI-powered listing copy generation, image analysis and studio image generation, multi-platform listing kit creation, and a Chrome browser extension for auto-filling listings on supported marketplaces (Poshmark, Depop, Vinted).

2. Beta Service

The Service is currently offered as a free beta. During the beta period:

  • Access is provided on an invitation-only basis via a waitlist.
  • Features, pricing, and availability may change at any time without notice.
  • The Service may contain bugs, errors, or incomplete features.
  • We may limit, suspend, or terminate the beta program at any time.
  • No service level agreements (SLAs) are provided during the beta period.

We welcome and encourage feedback during the beta. Any feedback you provide may be used by us to improve the Service without obligation to you.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By using the Service, you represent that you meet these requirements.

4. AI-Powered Services Disclaimer

Please read this section carefully.

VintOps uses artificial intelligence (“AI”) technology to power various features, including but not limited to visual search, listing copy generation, image analysis, studio image generation, pricing suggestions, and brand identification.

You acknowledge and agree that:

  • AI technology is not perfect and may produce errors, inaccuracies, or unexpected responses.
  • AI-generated listing copy, pricing suggestions, and image analysis should be reviewed before use.
  • AI-generated images may not perfectly represent your items and should be reviewed before posting to marketplaces.
  • You are solely responsible for reviewing and verifying any content generated by the AI before publishing it to any marketplace.
  • We do not guarantee the accuracy, completeness, or reliability of any AI-generated output.
  • The AI does not replace human judgment, and important business decisions should not be made solely based on AI-generated content.
  • Pricing suggestions are informational only and do not constitute financial or business advice.

We continuously work to improve our AI systems, but by using the Service, you accept these inherent limitations of AI technology.

5. User Accounts and Responsibilities

When you create an account, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security and confidentiality of your login credentials.
  • Notify us immediately of any unauthorized access to your account.
  • Accept responsibility for all activities that occur under your account.

You are responsible for ensuring that any listing content — whether AI-generated or manually created — complies with the terms and policies of the marketplaces where you post it (including Poshmark, Depop, Vinted, and others).

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Create listings for counterfeit, stolen, or prohibited items.
  • Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or its related systems or networks.
  • Use the Service for automated scraping, data harvesting, or any purpose beyond its intended use.
  • Reverse-engineer, decompile, or disassemble any part of the Service.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, and design — are the exclusive property of UserBuilders LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

You retain ownership of all images you upload and all listing content you create using the Service. AI-generated content (such as listing descriptions and studio images) created through the Service is provided for your use in connection with your reselling activities.

8. Third-Party Services

The Service integrates with third-party services including marketplace platforms (Poshmark, Depop, Vinted), AI providers (Anthropic, Google), authentication services (Clerk), and search providers. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is subject to those services' own terms and policies.

Your use of marketplace platforms is governed by each platform's terms of service. We are not affiliated with, endorsed by, or sponsored by any marketplace platform.

9. Service Availability and Modifications

We strive to keep the Service available at all times, but we do not guarantee uninterrupted or error-free operation. We reserve the right to:

  • Modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.
  • Perform maintenance that may temporarily affect availability.
  • Update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

  • The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory.
  • We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • In no event shall UserBuilders LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
  • We are not liable for any losses arising from reliance on AI-generated content, including but not limited to inaccurate pricing suggestions, listing descriptions, or image modifications.
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim (or, during the free beta period, fifty dollars ($50)).

11. Indemnification

You agree to indemnify, defend, and hold harmless UserBuilders LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any rights of a third party, or any listing content you publish using the Service.

12. Termination

We may terminate or suspend your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) shall survive.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless both parties agree to resolve the matter in the state or federal courts located in Wyoming.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and UserBuilders LLC regarding the Service and supersede all prior agreements and understandings.
